Overview

These Terms of Use govern access to and use of MatterCue, a software service provided by mttrAI. By accessing or using MatterCue, creating an account, starting a subscription, or submitting email content to MatterCue, you agree to these Terms.

Workflow Support Only

MatterCue provides workflow support for law firms and legal professionals. MatterCue may help summarize email threads, identify potential follow-ups, surface possible obligations, suggest reminders, draft suggested replies, and identify possible billing-related activity.

MatterCue does not provide legal advice, does not replace attorney judgment, does not create an attorney-client relationship, and does not independently verify legal, procedural, factual, billing, or deadline-related information.

Human Review Required

Users are responsible for reviewing all MatterCue outputs before relying on them. This includes summaries, action items, suggested replies, deadlines, reminders, billing suggestions, urgency labels, and any other generated or displayed content.

No Deadline, Billing, or Outcome Guarantee

MatterCue may flag dates, deadlines, billing opportunities, and follow-up tasks, but users remain solely responsible for independently verifying all legal, procedural, billing, and client communication decisions.

MatterCue does not guarantee that it will identify every obligation, deadline, follow-up, task, billing opportunity, or relevant issue contained in an email thread.

Email Processing

MatterCue only processes emails or email threads intentionally sent, forwarded, or CC'd to MatterCue. MatterCue does not monitor your inbox, access your email account generally, send client replies automatically, or mark tasks resolved automatically.

Authorized Use

You may only submit information that you are authorized to process through MatterCue. You are responsible for ensuring that your use of MatterCue complies with all applicable professional, confidentiality, privacy, data security, employment, contractual, court, and ethical obligations.

Accounts and Users

You are responsible for maintaining the confidentiality of account credentials and for all activity under your account. Admin users are responsible for managing approved users for their firm, including inviting, removing, and deactivating users as appropriate.

Subscriptions and Billing

MatterCue is offered through subscription plans with stated user limits, usage limits, billing intervals, and pricing. By purchasing a subscription, you authorize recurring charges through our payment processor until the subscription is canceled.

Billing, payment method updates, invoice access, subscription changes, and cancellation may be managed through the MatterCue portal using Stripe Customer Portal.

Plan Changes

If you upgrade, downgrade, or change billing intervals, the change may be handled through Stripe and may result in prorated charges, credits, or changes effective at the next billing period depending on Stripe's configuration and the applicable subscription terms.

Cancellation

You may cancel your subscription through the billing portal or by contacting support@mttrai.com. Unless otherwise stated at checkout or in the billing portal, cancellations take effect at the end of the current billing period. You will retain access until the end of that paid billing period, subject to these Terms.

Refunds

Payments are generally non-refundable except where required by law or expressly approved by mttrAI. Refund requests may be sent to support@mttrai.com. Approval of a refund in one instance does not create a right to future refunds.

Acceptable Use

You may not use MatterCue to violate laws, infringe rights, send spam, compromise security, process unauthorized data, reverse engineer the service, interfere with the operation of the service, overload the service, or attempt to access data, accounts, systems, or information that you are not authorized to access.

Service Availability and Changes

MatterCue may change, suspend, limit, or discontinue features as the product develops. We may also impose usage limits, modify workflows, or update functionality. We do not guarantee uninterrupted or error-free operation.

Third-Party Services

MatterCue may rely on third-party service providers for hosting, authentication, payment processing, email delivery, database services, automation, and AI processing. These providers may process data as necessary to provide the service.

Intellectual Property

MatterCue, mttrAI, the website, software, workflows, branding, designs, documentation, and related materials are owned by mttrAI or its licensors. These Terms do not transfer any ownership rights to you.

Customer Data

As between you and mttrAI, you retain ownership of the content and information you submit to MatterCue. You grant mttrAI the limited right to process that content as necessary to provide, maintain, secure, improve, and support the service.

Security

MatterCue uses commercially reasonable administrative, technical, and organizational measures designed to protect the service. However, no system can be guaranteed to be completely secure. You are responsible for using MatterCue appropriately and for avoiding submission of information you are not authorized to process.

Termination or Suspension

We may suspend or terminate access to MatterCue if we believe you have violated these Terms, created risk to the service or other users, failed to pay amounts owed, or used the service in an unauthorized or harmful manner.

Disclaimer of Warranties

MatterCue is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, mttrAI disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and reliability.

Limitation of Liability

To the fullest extent permitted by law, mttrAI will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, missed deadlines, billing losses, legal malpractice claims, or professional liability arising from use of or reliance on MatterCue.

To the fullest extent permitted by law, mttrAI's total liability for any claim relating to MatterCue will not exceed the amount paid by you to mttrAI for MatterCue during the three months before the event giving rise to the claim.

Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on the MatterCue website with a revised "Last updated" date. Continued use of MatterCue after updates means you accept the revised Terms.
